- These terms and conditions of use (Terms) explain how you may use this website and any of its content (Site). These Terms apply between CAPEDGE (we, us or our) and you, the person accessing or using the Site (you or your).
- You should read these Terms carefully before using the Site. By using the Site or otherwise indicating your consent, you agree to be bound by these Terms. If you do not agree with any of these Terms, you should stop using the Site immediately. Additional terms and conditions applicable to the specific areas of the Site are posted throughout the Site and, together with these Terms, govern your use of these areas, content and/or transactions.
- The Site is provided by us to you free of charge for information purposes only.

- Using the site
- The Site only complies with UK laws. You should only use it from the UK. You must be an UK resident for the products and services to be available to you.
- You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the Site.
- We make no promise that the Site is appropriate or available for use in locations outside of the UK. If you choose to access the Site from locations outside the UK, you acknowledge you do so at your own initiative and are responsible for compliance with local laws where they apply.
- We try to make the Site as accessible as possible. If you have any difficulties using the Site, please contact us using the contact details at clause 2.2.
- You may not copy, display, modify, publish, reproduce, store, transmit, post, create other derivative works from, or sell, rent or license any part of the content obtained from the Site in any medium to anyone, except as otherwise expressly permitted under these Terms, relevant license or authorisation by us. Such limited license is subject to these Terms and does not include use of any data mining, robots, or similar data gathering or extraction methods.

- upload, post, transmit, share, store, or otherwise make publicly available on the Site any private information of any third party, including, without limitation, addresses, phone numbers, email addresses and credit card numbers;
- upload, post, transmit, share, or otherwise make available any material that contains software viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
- use or attempt to use another’s account, service, or system without authorisation from us, or create a false identity on the Site;
- use any automated means to access the Site or collect any information from the Site (including, without limitation, robots, spiders, scripts or other automatic devices or programs);
- frame the Site, utilise framing techniques to enclose any content or other proprietary information, place pop-up windows over the Site’s pages, or otherwise affect the display of the Site’s pages.
- engage in the practices of “screen scraping,” “database scraping” or any other activity with the purpose of obtaining content or other information;
- use data provided by us, provided in any manner whatsoever, for any competing uses or purposes. You further agree that you have never used data, provided in any manner whatsoever, from us in the past to compete with our products or services;
- use the Site in any manner that violates applicable law or that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site; or
- upload, post, transmit, share, store, or otherwise make available content that, in our sole judgment, is objectionable or which restricts or inhibits any other person from using or enjoying the Site, or which may expose us or our affiliates, licensors and their respective officers, directors, employees, agents and representatives, or Site users to any harm or liability of any type.
- By using the Site, you confirm that you are authorised to act on behalf of the business or entity you represent or act on behalf of. You agree, both individually and on behalf of the business or entity you represent or act on behalf of not to use the Site to:
- register for multiple user accounts on behalf of the same business or entity;
- operate or otherwise utilise an account opened in the name of a business or entity for the benefit of any persons other than that business or entity;
- operate or otherwise utilise an account opened in the name of a business or entity for any purpose prohibited by law or regulation, for any activity which that business or entity is not duly authorised to conduct, or for any purpose prohibited by any other agreement between the business, guarantor or entity and us;
- operate a user account on behalf of any business or entity with regard to which you are not an authorised person with the power to enter into binding agreements on behalf of the business or entity; or
- upload, post, transmit, share, store or otherwise make publicly available on the Site any private information regarding the business or entity you represent, including, without limitation, addresses, phone numbers, email addresses, tax identification numbers and credit, or any personal information regarding persons associated with the business or entity (other than registration data requested by us as part of the registration process for the Site or any product available via the Site).
- We may prevent or suspend your access to the Site at any time, with or without notice, if you do not comply with these Terms or any applicable law.
- Registration and password security
- Use of the Site may require registration, particularly in order to access restricted areas of the Site.
- By registering and/ or using the Site you affirm that you are 18 years of age or older. We will not consider nor retain any applications, comments or information submitted by persons under the age of 18.
- We are not obliged to permit anyone to register with the Site and we may refuse, terminate or suspend registration to anyone at any time.
- You are responsible for making sure that your password and any other account details are kept secure and confidential.
- If we have reason to believe there is likely to be a breach of security or misuse of the Site through your account or the use of your password, we may notify you and require you to change your password, or we may suspend or terminate your account.
- Any personal information you provide to us as part of the registration process will be processed in accordance with our Privacy Policy which is available at https://capedge.co.uk/privacy-policy/.
- Infringing content
- We will use reasonable efforts to:
- delete accounts which are being used in an inappropriate manner or in breach of these Terms.
- identify and remove any content that is unlawful, inappropriate, defamatory, infringes intellectual property rights when we are notified of the same.
- If you believe that any content which is distributed or published on the Site is unlawful, inappropriate, defamatory or infringing on intellectual property rights, you should contact us immediately using the contact details at clause 2.2.

- Your privacy and personal information
Your privacy and personal information are important to us. This policy explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.
- Ownership, use and intellectual property rights
- The intellectual property rights in the Site and in any designs, trademarks, layout, functions, graphics, text, images, video, audio or other multimedia content, software or other services offered, information or material submitted to or accessible from the Site and its content are owned by us and/or our licensors.
- We and/or our licensors reserve all our intellectual property rights (including, but not limited to, all copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world. This means, for example, that we remain owners of them and are free to use them as we see fit.

- Submitting information to the site
- While we try to make sure that the Site is secure, we do not actively monitor or check whether information supplied to us through the Site is confidential, commercially sensitive or valuable.
- Other than any personal information which will be dealt with in accordance with our Privacy Policy, we do not guarantee that information supplied to us through the Site will be kept confidential and we may use it on an unrestricted and free-of-charge basis as we reasonably see fit.
- Accuracy of information and availability of the site
- We try to make sure that the Site is accurate, up-to-date and free from bugs, but we cannot promise that it will be. Furthermore, we cannot promise that the Site will be fit or suitable for any purpose. Any reliance that you may place on the information on the Site is at your own risk.

- Authorisation to Contact you by Telephone

- You authorise us to contact you on any telephone number where we believe we may reach you, using any means of communication, including but not limited to, calls or text messages to mobile, cellular, wireless or similar devices and calls or text messages using an automated telephone dialling system and/or artificial voices or prerecorded messages, even if you incur charges for receiving such communications.
- You consent to the recording and monitoring, for quality assurance, training, risk management and/or collection purposes, of any call that you place with us (or our agents, representatives, affiliates, third parties or anyone calling on our behalf) or that we (or our agents, representatives, affiliates, third parties or anyone calling on our behalf) place to you.
- Electronic Communications
- By using parts of the Site, or sending e-mails to us, you are communicating with us electronically. You agree to receive communications from us electronically, and that all agreements, notices, disclosures and other communications that we, our affiliates, partners or independent contractors provide to you electronically satisfy any legal requirement that such communication be in writing and are effective immediately.
- If you are accessing the Site and the disclosures via a mobile device (e.g., smart phone, tablet, etc.), you must make sure that you have software on your mobile device that allows you to print and save any and all disclosures provided to you during the application process. If you do not have these capabilities on your mobile device, please access the Site or portal through a device that provides these capabilities.
- You may withdraw your consent to receive disclosures electronically by contacting us at the address below. However, once you have withdrawn your consent you will not be able to post any funding requests on the Site. If you have a pending request on the Site, we will terminate it and remove it from our system. If you have already received funding, all previously agreed to terms and conditions will remain in effect, and we will send disclosures to your verified business address provided during registration.

- Hyperlinks and third party sites
The Site may contain hyperlinks or references to third party advertising and websites other than the Site. Any such hyperlinks or references are provided for your convenience only. We have no control over third party advertising or websites and accept no legal responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third party advertising or website does not mean that we endorse that third party’s website, products or services. Your use of a third party website may be governed by the terms and conditions of that third-party website and is at your own risk.
- Feedback
- We may offer the opportunity to provide feedback as a part of the services provided by us via the Site. By providing feedback to us, you give a non-exclusive, irrevocable, perpetual and sub-licensable right for us to share the information in any format and for any purpose, including but not limited to, advertising use. No compensation will be paid to you for your submission, and we are under no obligation to use or post any information provided.
- You warrant that you own or control all of the rights to all content that you provide to us or which you upload to the Site. You agree to indemnify us, our affiliates, agents and partners for any and all claims resulting from the content you provide to us or upload to the Site.
- You may not post content that is unlawful, obscene, threatening, inflammatory, libelous, defamatory, or that includes any misleading information. We may remove any submission at any time in its sole discretion.
- Our responsibility to you
- If we breach these Terms or are negligent, we are liable to you for foreseeable loss or damage that you suffer as a result. By ‘foreseeable’ we mean that, at the time these Terms were formed, it was either clear that such loss or damage would occur or you and we both knew that it might reasonably occur, as a result of something we did (or failed to do).
- We are not liable to you for any direct or indirect, incidental, consequential damages, costs, or legal fees arising out of or relating to these Terms, access to, use of, or the operation of the Site, any of the Site content, or user content. We are not liable for any loss or damage that was not foreseeable, any loss or damage not caused by our breach or negligence, or any business loss or damage.
- Nothing in these Terms excludes or limits our liability for any death or personal injury caused by our negligence, liability for fraud or fraudulent misrepresentation, or any other liability that the law does not allow us to exclude or limit.
- Your sole and exclusive remedy and our sole and exclusive liability to you for any reason shall be for you to discontinue your access to or use of the Site. The foregoing limitation of liability shall apply to the fullest extent permitted by law in accordance with the jurisdiction of England and Wales.
- Events beyond our control
We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control.
- No third party rights
No one other than us or you have any right to enforce any of these Terms.
- Variation
- No changes to these Terms are valid or have any effect unless agreed by us in writing or made in accordance with this clause 17.
- We reserve the right to vary these Terms from time to time. Our updated Terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.

- The laws of England and Wales apply to these Terms.
- Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
